    You warrant that you have complied with all policies and obligations relating to the Third-Party Providers’ obligations under the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth).

    Your use of the Platform is at your own risk.

    Any dealings between you and us are subject to:

    • equipment malfunctions;
    • periodic maintenance procedures, repairs, updates or upgrades that Marketech may undertake from time to time;
    • causes beyond Marketech’s control or that are not reasonably foreseeable by Marketech, including, without limitation, interruption or failure of telecommunication or digital transmissions, hostile network attacks, network congestion or other failures; or
    • a disruption in the connection between Marketech and Openmarkets or the Market Information provider.

    You acknowledge and agree that Marketech has no control over the availability of Platform on a continuous or uninterrupted basis.

    You acknowledge and agree that the Platform requires internet access in order to function and, if you do not have stable internet access (e.g. by not having mobile data reception), you will not be able to amend or create transactions or view the Market Information. You will also not receive notifications or other alerts from the Platform. You agree that you are solely responsible for ensuring that the Platform has internet access and will indemnify Marketech from any losses you incur howsoever arising in connection with the loss of internet access to the Platform.

    When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Platform.

    You are responsible for safeguarding the password that you use to access the Platform and for any activities or actions under your password. You agree not to disclose your password to any third party. You agree to be fully responsible for activities that relate to your account or your password. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.

    You may not use as a username the name of another person, or entity or name that is not lawfully available to you for use, a name or trade mark that is subject to any rights of another person or entity other than you without appropriate authorisation, or a name that is otherwise offensive, vulgar or obscene.

    Some parts of the Platform are billed on a subscription basis (Subscription). You will be billed a fee (Subscription Fee) in advance on a recurring and periodic basis (Billing Cycle). Billing cycles are set on a monthly basis.

    At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you or Marketech cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting Marketech customer support team.

    A valid payment method via the Platform billing system is required to process the payment of the Subscription Fee. You shall provide Marketech with accurate and complete billing information including full name, address, State/Territory, postcode, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorise Marketech to charge all Subscription Fees incurred through your account to any such payment instruments.

    Should automatic billing fail to occur for any reason, Marketech will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice. Failure to pay the invoice by the deadline date may result in the termination or suspension of your access to the Platform.

    All prices are in Australian Dollars (AUD).

    You may cancel your Subscription by selecting the ‘FocusLite’ option in the My detail (Plan) settings in the Application or Website.

    Any cancellation of the Subscription by you will take effect at the end of the period to which the Subscription Fee relates.

    You acknowledge and agree that the Company may terminate your access to the Services in accordance with these Terms at any time, and you accept that where any such termination occurs, there is no refund available for the Subscription Fee.

    Except when required by law, paid Subscription Fees are non-refundable.

    Fair Use Policy on Focus

    Live data is charged by the ASX on a ‘per view/ per user’ basis up to a monthly cap, where 20 minute-delayed ASX data can be delivered for a significantly lower annual fee.

    On this basis the Marketech Focus Platform is delivered in three (3) tiers:

    FocusPro is designed for active traders and those for whom regular access to live-streaming price data is important.

    FocusPlus is designed for infrequent traders and those for whom occasional access to live price data is important.

    FocusLite is designed for users that infrequently view the market and may also trade infrequently, and for whom live data is not important all of the time. When ready to purchase shares, simply turn on the live prices by selecting one of the live options above.

    To access ASX live data only, or if you are trading regularly, we recommend our FocusPlus or FocusPro subscription.

    Marketech reserves the right to deny service to any Focus Platform users that are using the Platform outside the Terms, or where the cost of supplying that data is not offset by the Subscription.

    Breach of the Fair Use Policy

    If you breach any part of this Fair Use Policy we will, generally speaking, contact you and, if appropriate, ask you to modify your use of the service. If you do not modify your use of the service we may suspend or cancel your service.

    However, in certain circumstances such as illegality, or non-ordinary use, we reserve the right to suspend or cancel your service immediately and without notice to you.

    Upon notification of cancellation of an account, you will be entitled to a grace period of 14 days to move your HIN or your holdings to a new broker.

    Free Trial

    Marketech may, at its sole discretion, offer a Subscription with a free trial for a limited period of time (Free Trial).

    You may be required to enter your billing information in order to sign up for the Free Trial.

    If you do enter your billing information when signing up for the Free Trial, you will not be charged a Subscription Fee by Marketech for the duration of the Free Trial. On the day immediately following the last day of the Free Trial period, unless you cancelled your Subscription, you will be automatically charged the applicable Subscription Fee for the type of Subscription you have selected.

    At any time and without notice, Marketech reserves the right to (i) modify the terms and conditions of the Free Trial offer, or (ii) cancel such Free Trial offer.

    Fee Changes

    Marketech, in its sole discretion and at any time, may modify the Subscription Fee for the Subscription. Any Subscription Fee change will become effective at the end of the then-current Billing Cycle.

    Marketech will provide you with reasonable prior notice in writing of any change in the Subscription Fee to give you an opportunity to terminate your Subscription before such change becomes effective.

    Your continued use of the Platform after the Subscription Fee change comes into effect constitutes your agreement to pay the modified Subscription Fee amount.

    You acknowledge and agree that Marketech is not responsible for the Market Information except where otherwise stated in these Terms.

Accordingly, all rights (including intellectual property rights) subsisting in any modifications or alterations will vest in us and be regarded as Marketech IP immediately upon creation, without the need for any further formality or documentation. You agree to execute (or procure the execution of) any documentation, and perform any other acts, required by us to confirm this fact and give effect to this clause, and will if necessary, assign to Marketech (or procure the assignment of) all rights (including intellectual property rights) arising out of any modifications or alterations to the Marketech IP or any other aspect of the Platform. The Platform is protected by copyright, trademark, and other laws of both the Australia and foreign countries. Our trademarks (registered or otherwise) may not be used in connection with any product or service without the prior written consent of Marketech. Nothing in these Terms constitutes a transfer of title or ownership of any Marketech IP from us to you (including any associated intellectual property rights, which include but are not limited to rights of copyright).

    You are permitted to use the Platform only as authorised by us. As a user, you are granted a limited, non-exclusive, revocable, non-transferable right to use the Platform to create, display, use, play, and download content subject to these Terms.

    Any opinions, advice, statements, services, offers, or other information or content expressed or made available by any other users are those of the respective authors or distributors and not of Marketech.

    Prohibited Content

    Use of the Platform which is objectionable, unlawful, illegal, could interfere with or adversely affect the proper operation of the Platform or the use of the Platform by other users, or for other activities prohibited by Marketech is prohibited.

    We reserve the right to investigate and take any appropriate action (including suspension or termination of Accounts and access to the Platform, or legal action, if necessary) against you if we determine, in our sole discretion, that you have breached this clause. You must immediately notify us if you become aware or reasonably suspect that a Platform user is in breach or will be in breach of this clause.

    We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

    Trading Account

    You will need to subscribe to a live pricing plan to begin the account opening process.

    When you open a trading account with Marketech, you also become a client of Openmarkets for the purpose of the execution, clearing and settlement services. Marketech acts as your agent and intermediary, communicating your trading instructions (e.g. buy and sell orders) to Openmarkets who will execute or facilitate transactions on your behalf. As a client of Openmarkets, in addition to Marketech’s Terms & Conditions, you will also be bound by Openmarkets Terms & Conditions and other Client Agreement documents and policies, which are provided to you as part of Marketech’s trading account application process (and updated from time-to time).

    Links to their Terms are below:

    Openmarkets will also carry the settlement obligations in respect of your transactions and as such, you will owe your corresponding settlement obligations in respect of those transactions to Openmarkets, and not to Marketech as the carrier of your instructions.

    All transactions, including but not limited to the buying and selling of securities through Openmarkets (Transactions), are solely at your own risk. For the avoidance of doubt, you understand and agree that:

    • all services provided by Openmarkets are subject to any terms and conditions Openmarkets may have from time to time;
    • Marketech makes no warranties or guarantees as to the availability of the Application or the Services for Transactions;
    • Marketech is not liable for any delays or latency issues that impact the provision of the Services or the useability of the Platform;
    • Marketech is not liable for any failed Transactions, including but not limited to, failures in the Platform, the Licensee’s hardware, data coverage or access, other technical interruptions or a failure caused by Openmarkets or any other market operator;
    • Marketech may reject or otherwise decline to convey an instruction to trade to Openmarkets for any reason and may decline to act on your behalf at without notice if Marketech deems it reasonably necessary and is not liable for any losses incurred by such actions except as otherwise stated in these Terms;
    • You are solely responsible for the security, and use, of your trading account and consequently, any order transmitted through the Platform will be deemed to be authorised, and therefore subject to terms entered into with Marketech and Openmarkets, including settlement.

    The contents of your trading portfolio is treated by Marketech as confidential and not shared with any other party except as required to provide the Platform to you.

    Trading Fee

    You warrant that you have read and understood the Marketech Financial Services Guide. You must pay Marketech, or associated third-parties such as Openmarkets, all fees (inclusive of any taxes) as set out in the Marketech Financial Services Guide (as updated from time-to-time and available at when transacting through Openmarkets on the Platform (Trading Fee).

    Conditional Orders

    Use of Conditional Orders (including Conditional/Stop Orders and Trailing Stop Orders) through the Platform constitutes acceptance of the following Conditional Order Terms and Conditions.

    All parties to your account:

    1. understand the operation of Conditional Orders, specific to the Marketech Platform, as outlined in the Conditional Order User Guide;
    2. understand and accept that Marketech does not provide any guarantee as to the effectiveness of a Conditional Order in limiting your losses or ensuring gains;
    3. have read and understood the Conditional Order Terms and Conditions;
    4. understand and accept, without limitation, all risks associated with the use of Conditional/ Orders; and
    5. acknowledge that Marketech recommends I/we seek appropriate professional advice before using a Conditional Order.

    The Conditional Order Terms and Conditions are to be read in conjunction with, and do not replace, Conditional Trading Risk Disclosure Statement and the standard Terms & Conditions covering use of the Marketech Platform.

    Marketech are not obliged to take any instruction on Conditional Orders.  However, where taken, Conditional Orders instructions are taken on a 'best endeavours' basis and as such, their success cannot be guaranteed, and they may be cancelled by Marketech, the ASX, or Openmarkets, at any time, for any reason.

    The placing of a Conditional Order will not affect the Available to trade balance until the until the condition is triggered and the order is placed. You must ensure that you have sufficient securities and/or funds in your account, to satisfy an order.

    Your order is theoretical until the condition is triggered and it is sent to market, at which point it becomes a normal market order. You are responsible for monitoring the status of your Conditional Order and/or resultant market order.

    You must not place any Conditional Order instruction for the purposes of manipulating or influencing the price of a security, market rigging, insider trading, disruption of the market, threatening the integrity of the market, misleading or deceptive conduct concerning dealings in the security, or where you do not have proper authority to place a Conditional Order instruction.

    Conditional Orders can only be placed, amended or cancelled through the Marketech Platform, and on certain Marketech Focus plans. If you unsubscribe or change to a plan that does not support Conditional Orders, you will still be able to amend or cancel existing Conditional Orders, but not place new ones.

    These Conditional Order Terms and Conditions may change from time to time.  You should periodically review the Conditional Order Terms and Conditions, Conditional Trading Risk Disclosure Statement and the standard Terms & Conditions covering use of the Marketech Platform. Continued use of Conditional Orders constitutes acceptance of those changes.

    Conditional/Stop Orders

    There are no 'market' orders available in Conditional/Stop Orders. When the condition triggers, the order is placed at the specified limit price. In a rapid moving market, your Conditional/Stop Order may not be executed when your trigger condition is met, if the limit price is not set at the correct price, or if there is insufficient volume.

    Trailing Stop Orders

    There are no 'limit' orders available in Trailing Stop Orders. When the condition triggers, the order is placed at the current market price. Therefore, when using these conditional orders, it is important to note that your trail start price may differ significantly from where your trail end condition is met. Further, as the fired order is a market order, in a rapid moving market your Trailing Stop Order may be executed at a significantly less favourable price than where your trigger condition is met.

    Additional Terms and Conditions

    You warrant that you have read and understood the Marketech Financial Services Guide. You must pay Marketech, or associated third-parties such as Openmarkets, all fees (inclusive of any taxes) as set out in the Marketech Financial Services Guide (as updated from time-to-time and available at when transacting through Openmarkets on the Platform (Trading Fee).

You acknowledge and agree that any additional terms and conditions which are applicable to the Platforms are hereby separate and additional to these Terms. Marketech is not responsible for, and has no liability in respect of, such additional terms of other software or service providers.

    We shall not be liable to you or any third party for any claims or damages arising out of any termination or suspension or any other actions taken by us in connection therewith.

    If applicable law requires us to provide notice of termination or cancellation, we may give prior or subsequent notice by posting it on the Platform or by sending a communication to any address (email or otherwise) that we have for you in our records.

    As a condition of your access to, and use of, the Platform, you agree to indemnify us and our successors and assigns for all damages, costs, expenses and other liabilities, including but not limited to legal fees and expenses, relating to any claim arising out of or related to your access to and use of the Platform or your breach of these Terms and any applicable law or the rights of another person or party.

    This indemnification section survives the expiration of your account or Subscription, and applies to claims arising both before and after the account or Subscription ends.
